Terms of Service

1. Agreement to these Terms

These Terms form a binding agreement between you and the operator of OpcClaw (“we”, “us”, or “our”). “You” means the individual using the Services, or the company or other legal entity on whose behalf you use the Services.

Your use of the Services is also subject to our Privacy Policy and any product-specific guidelines we publish. Those documents are incorporated by reference.

2. Changes to these Terms

We may update the Services and these Terms to reflect product, legal, or business changes. For material changes, we will take reasonable steps to notify you (for example, posting an update on the website or emailing your account address) and update the effective date above.

Continued use of the Services after changes take effect constitutes acceptance. If you disagree, stop using the Services.

Use the Services only for lawful business purposes related to export operations, prospecting, outreach, and market intelligence workflows you are authorized to conduct.

• Do not use the Services to harm minors, harass others, or generate or distribute illegal, fraudulent, or knowingly deceptive content.
• Do not infringe intellectual property, privacy, or other rights of third parties when importing leads, sending outreach, or storing customer data.
• Do not attempt to reverse engineer, scrape at scale, bypass access controls, or disrupt the Services.
• Do not use the Services for fully automated decisions that produce legal or similarly significant effects on individuals without appropriate human oversight where required by law.
• Do not upload malware or attempt unauthorized access to other accounts, projects, or systems.

5. Projects, customer data, and AI outputs

OpcClaw organizes work around Projects. Customer records, outreach touches, market signals, tasks, and files you create or import generally belong to your Project workspace, subject to these Terms and applicable law.

AI features may generate drafts, research summaries, rankings, or suggested actions. Outputs can be incorrect or incomplete. You are responsible for reviewing AI outputs before relying on them for business decisions or sending outreach to third parties.

You retain rights in content you lawfully provide to the Services. You grant us a limited license to host, process, and display that content solely to operate and improve the Services for you. We do not claim ownership of your customer lists or Project business data.

6. Paid plans and billing

Some features may be free; others require a paid plan (for example Starter, Growth, or Enterprise offerings we publish). Fees, renewal, and cancellation terms will be shown at checkout or in an order form.

Payments may be processed by third-party providers (such as Stripe). You authorize us and our processors to charge applicable fees. Taxes may apply. Except where required by law or stated otherwise at purchase, fees are non-refundable.

7. Third-party services

The Services may integrate with third parties (email providers, analytics, AI model providers, payment processors, hosting). Your use of those services may be subject to their terms. We are not responsible for third-party services we do not control.

8. Intellectual property

OpcClaw, the Dashboard, website branding, software, and documentation are protected by intellectual property laws. Except for the limited rights to use the Services under these Terms, no rights are granted to you by implication.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL MEET YOUR REQUIREMENTS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY ARISING OUT OF THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

11. Indemnity

You will defend and indemnify us against claims arising from your content, your outreach or customer processing, your violation of these Terms, or your infringement of third-party rights, except to the extent caused by our willful misconduct.

12. Governing law

These Terms are governed by the laws applicable to our principal place of business, excluding conflict-of-law rules, unless mandatory local consumer or commercial law requires otherwise. Courts in that venue will have exclusive jurisdiction, subject to any non-waivable rights you may have.
